These Terms and Conditions (“Terms”) govern all services, engagements, materials, and interactions with Jade Levitt Consulting (“Company,” “we,” “us,” or “our”). By purchasing, booking, or using our services or website, you agree to these Terms.

1. Scope of Services

Jade Levitt Consulting provides professional consulting and implementation services, including but not limited to:

Business and operations consulting

AI and automation strategy

CRM and systems architecture

SOP and documentation development

Marketing and workflow systems

Advisory, retainers, and implementation services

Digital resources and training materials

Specific scope, timelines, and deliverables are defined in proposals, statements of work, or agreements.

2. Client Engagement

Services begin upon one of the following:

Signed agreement

Accepted proposal

Payment of invoice or deposit

Booking of services

The Company reserves the right to refuse service at its discretion.

3. Fees and Payment

3.1 Pricing

Fees are provided in proposals, invoices, or service pages. Prices may change without notice for future engagements.

3.2 Payment Terms

Unless otherwise stated:

Deposits are due before work begins

Invoices are payable upon receipt

Retainers are billed in advance

Late payments may pause work

3.3 Non-Payment

We may suspend or terminate services for unpaid balances. The client remains responsible for all completed work.

4. No Refund Policy

Due to the customized, intellectual, and strategic nature of services:

All payments are non-refundable once work has commenced

Deposits secure project scheduling and are non-refundable

Completed phases are billable

Refunds are only provided where required by law or explicitly stated in writing.

5. Client Responsibilities

The client agrees to:

Provide accurate information

Supply required access and credentials

Participate in reviews and approvals

Provide timely feedback

Implement recommendations responsibly

Project delays caused by the client do not reduce fees.

6. Intellectual Property

6.1 Company IP

All methodologies, frameworks, templates, systems, and materials created by Jade Levitt Consulting remain Company intellectual property.

6.2 License to Client

Upon full payment, the client receives a non-exclusive, non-transferable license to use deliverables for their internal business purposes.

Clients may not:

Resell

Distribute

Republish

License

Claim authorship

without written permission.

6.3 Portfolio Rights

We may reference project outcomes or anonymized work for portfolio or marketing unless restricted in writing.

7. Confidentiality

Both parties agree to maintain confidentiality of non-public business, operational, and technical information shared during the engagement.

Client data and business materials are used solely to deliver services unless authorized otherwise.

8. Third-Party Platforms and Tools

Services may involve configuration or use of third-party software, including CRM, automation, AI, or SaaS platforms.

Jade Levitt Consulting is not responsible for:

Platform outages

Vendor changes

Pricing changes

Software defects

Third-party data handling

Clients remain responsible for their platform accounts and compliance.

9. Results Disclaimer

We provide professional strategy, systems, and implementation guidance.
We do not guarantee:

Revenue

Profitability

Lead generation

Conversion rates

Business growth

Outcomes depend on execution, market factors, and client operations.

10. Limitation of Liability

To the maximum extent permitted by law, Jade Levitt Consulting shall not be liable for:

Indirect or consequential damages

Lost profits or revenue

Business interruption

Data loss

Operational disruption

Total liability is limited to fees paid for the specific service giving rise to the claim.

11. Indemnification

The client agrees to indemnify and hold harmless Jade Levitt Consulting from claims arising from:

Client business operations

Client implementation of advice

Misuse of deliverables

Regulatory or legal violations

12. Project Timelines

Estimated timelines depend on:

Scope complexity

Client responsiveness

Access to systems

External integrations

Delays caused by missing client inputs may extend timelines without fee reduction.

13. Revisions and Scope Changes

Unless otherwise specified:

Reasonable revisions within scope are included

Additional changes or scope expansion may incur fees

New work requires approval before execution

14. Termination

Either party may terminate an engagement in writing.

Upon termination:

All completed work is payable

Deposits are retained

Access to materials may be revoked for non-payment

15. Suspension of Services

We may suspend services if:

Payments are overdue

Terms are violated

Misuse of materials occurs

Abusive or inappropriate conduct occurs

16. Independent Contractor Status

Jade Levitt Consulting operates as an independent contractor.
Nothing creates partnership, employment, or joint venture.

17. Force Majeure

We are not liable for delays or failure due to events beyond reasonable control, including:

Illness

Infrastructure outages

Natural disasters

Platform failures

Government actions

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

19. Updates to Terms

We may update these Terms periodically.
Continued use of services constitutes acceptance of revised Terms.
